License Agreement

In the following agreement, the party who is granting the right to use the licensed property will be referred to as «3S Content» and the party who is receiving the right to use the licensed property will be referred to as "licensee".
1. «3S Content» owns/distributes the content in accordance with this agreement, «3S Content» grants the licensee a non-exclusive website license to display and use the content for online user downloading from the licensee's website. «3S Content» retains title and complete ownership of the content. The licensee agrees not to sell or distribute the content on diskettes, CD-ROMs or any other medium.
2. The content can be used for HTML design or logo design by the licensee at no extra cost. The Licensee is allowed to resize, rename or change the format of the images within the photo set.
3. The content is licensed and all models are over the age of 18 at the time of photography. «3S Content» retains the model releases, and will produce any model release for any content when the content is challenged.
4. This agreement shall be binding on any successors of the parties. The licensee does not have the right to assign its interests in this agreement to any other party, unless the prior written consent is obtained by «3S Content». An administrative fee may apply.
5. Materials to be furnished to licensee. In connection with the license of the images, «3S Content» will furnish the licensee one copy of the images in digital media form. Digital media format will be jpeg compressed.
6. Warranty. «3S Content» makes no warranties, express or implied, with respect to the images, including any implied warranty of merchantability of fitness for a particular purpose.
7. Licensee obligations. The licensee shall be exclusively responsible for the supervision, management and control of its use of the images and any other use not expressly given herein shall constitute a breach of this Licensing Agreement and subject to any and all sanctions allowable by law.
8. APPLICABLE LAW. This agreement shall be governed by the laws of the United States and International laws. The Licensee holds «3S Content» harmless for any legal issues relating the distribution of the material within this website as it relates to the community standards and adult entertainment laws as set forth in the city/county, state/province or country of the Licensee and his or her websites. «3S Content» does not warrant this material to be acceptable in licensee's community, and the licensee has assumed full responsibility for determining what images are suitable for distribution.
